Kevin Conboy has extensive
experience in commercial lending and other debt finance
transactions, and in structuring and documenting secured and
unsecured lending transactions. While most of his practice
has involved representation of the agent bank in complex
senior debt transactions, he has also frequently represented
borrower clients of the firm. His transactions frequently
include cross-border features, first and second lien
financings, unusual collateral classes, and complex intercreditor issues. He is experienced in cash-flow
lending, asset-based lending, the financing of leveraged
buyouts, and representation of banks, hedge funds, finance
companies and other financial institutions lending to
businesses, with a focus on cable television, radio,
cellular, outdoor, internet service providers, publishing,
wireless and other communications businesses; aircraft
finance; manufacturing enterprises; technology companies;
and retail businesses. He has also assisted in bankruptcies,
workouts, loan restructurings and DIP financings.
His general corporate
practice has included the representation of several cable
television companies (including the start-up of an alternate
access venture), a long-distance telephone service reseller,
broadcasters, a regional Bell operating company with respect
to its communications transactions, health care technology
companies, a home service company, an internet security
company, a power company, real estate developers, and a
Fortune 50 industrial conglomerate.
Mr. Conboy has authored a
number of law review articles pertaining to foreign
investment in the United States, and speaks to financiers on
topics such as secured lending, transaction structuring,
representing the agent bank in a syndicated credit, and
lending to communications businesses. Mr. Conboy serves as an adjunct Professor of Law at the
University of Georgia School of Law, teaching a course on
lending and commercial finance.
Mr. Conboy began his legal career
as a law clerk for the Honorable Marvin H. Shoob, U.S.
District Court Judge for the Northern District of Georgia.
He also served for two years as deputy headmaster and
teacher at a secondary school in rural Kenya, East Africa.
He is a dual citizen of the United States and the Republic
of Ireland, and President of the Atlanta Chapter of the
Ireland Chamber of Commerce. In that capacity, he led a
Trade Mission to Ireland and Northern Ireland in June 2007
with Georgia Governor Sonny Perdue. Kevin works with several
Irish clients, as well as US clients doing business in
Ireland. Mr. Conboy
is actively involved in various community service
organizations. He serves as Trustee for Southern Catholic
College, is on the Advisory Board for the Dean Rusk Center
for International Law at the University of Georgia's Lumpkin
School of Law, and is active with the Susan G. Komen Breast
Cancer Foundation. Mr. Conboy attended Regis High School in New York City,
received his B.A. degree from LeMoyne College in 1974 and
received his J.D. degree, cum laude, from the University of
Georgia School of Law in 1979. He is a member of the Atlanta
and International Bar Associations and admitted to the Bar
in the State of Georgia.
